Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services operated by Redvisor ("Redvisor", "we", "us", or "our"), a sole proprietorship registered in Hong Kong (Business Registration No. 41473628-000), including KitchenDesk, GTM Scout, and any future products (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
2. The Services
Redvisor builds and operates software-as-a-service products. We may add, modify, or discontinue features of the Services at any time. Specific functionality, limits, and availability are described on the relevant product website.
3. Subscriptions and billing
- Certain Services are offered on a subscription basis. By subscribing, you authorise us (through our payment processor, Stripe) to charge the applicable fees to your chosen payment method.
- Subscriptions automatically renew at the end of each billing period (e.g. monthly or annually) unless cancelled before the renewal date.
- You authorise recurring charges until you cancel. We will charge the subscription fee in effect at the time of each renewal.
- If a payment fails, we may suspend or terminate your access until payment is resolved.
4. Fees and price changes
All fees are stated on the relevant product website and are exclusive of any applicable taxes unless stated otherwise. We may change our fees from time to time; we will give you reasonable advance notice of any price change, which will take effect at your next renewal.
5. Free trials
We may offer free trials. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged. Trial terms, including duration, will be specified at sign-up.
6. Cancellations and refunds
You may cancel your subscription at any time. Cancellation and refund terms are described in our Refund & Cancellation Policy, which forms part of these Terms.
7. Acceptable use
You agree not to:
- use the Services for any unlawful purpose or in violation of any applicable law or regulation;
- attempt to gain unauthorised access to the Services or related systems;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer, copy, or create derivative works of the Services except as permitted by law;
- upload or transmit malicious code, or infringe the intellectual property or privacy rights of others;
- resell or sublicense the Services without our written permission.
We may suspend or terminate access for violations of this section.
8. Your content and data
You retain ownership of any content or data you submit to the Services ("Your Content"). You grant us a limited licence to host, process, and use Your Content solely to provide and improve the Services. You are responsible for ensuring you have the necessary rights to Your Content and that it does not violate any law or third-party rights.
9. Intellectual property
The Services, including all software, design, text, and trademarks, are owned by Redvisor or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.
10. Third-party services
The Services may integrate with or link to third-party services (such as Stripe). Your use of those services is governed by their own terms, and we are not responsible for them.
11. Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.
12. Limitation of liability
To the maximum extent permitted by law, Redvisor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify and hold harmless Redvisor from any claims, damages, liabilities, and expenses arising out of your use of the Services, Your Content, or your violation of these Terms.
14. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (e.g. intellectual property, disclaimers, limitation of liability) will survive.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where changes are material, provide reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Hong Kong.
